1. Agreement, eligibility and accounts

1.1 Agreement. These Terms of Service ("Terms") are a binding agreement between you and Tampa Acro LLC, the founder and owner of the Acro Social brand ("Tampa Acro," "Acro Social," "we," "us" or "our"), and the operator of acrosocial.com, the Acro Social web and mobile applications, and related services (the "Platform"). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform on behalf of a studio, collective or other organization, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use the Platform.

IMPORTANT: THESE TERMS INCLUDE AN ASSUMPTION OF RISK AND RELEASE OF LIABILITY (SECTION 3), AUTOMATICALLY RENEWING SUBSCRIPTIONS (SECTION 5), AND A BINDING INDIVIDUAL ARBITRATION AGREEMENT WITH A CLASS ACTION AND JURY TRIAL WAIVER (SECTION 9). PLEASE READ THEM CAREFULLY.

1.2 Eligibility. You must be at least 18 years old to create an account or use the Platform. By using the Platform, you confirm that you are 18 or older and legally able to enter into this agreement. Hosts may set additional eligibility requirements for their own communities and events.

1.3 Your account. You agree to provide accurate information, keep it current, and keep your login credentials confidential. You are responsible for all activity under your account. You may not share your account, create accounts by automated means, hold more than one personal account, sell or transfer your account, or create a new account after we suspend or terminate you. Notify us promptly at [support@acrosocial.com] if you suspect unauthorized access.

1.4 License to use the Platform. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended purpose.

2. What Acro Social is, and what it is not

2.1 The service. Acro Social is a software platform for the acrobatics, acroyoga and circus arts community. It lets users create profiles, join open or invite-only communities, discover and RSVP to jams, classes, workshops and events, track skill progression and attendance streaks, find practice partners and instructors, react to and save posts, and message other users.

2.2 We are an intermediary. Acro Social provides discovery and coordination tools. We are not the producer, organizer, host, instructor, venue, gym, studio, employer, agent or insurer of any community, jam, class, workshop or event listed on the Platform. Hosts and instructors are independent third parties. They are not our employees, agents or representatives, and no partnership, joint venture or agency relationship is created by these Terms.

2.3 Brand, ownership and development. Acro Social is a brand of Tampa Acro LLC, which founded the brand and owns and operates the Platform. References to Acro Social in these Terms mean Tampa Acro LLC acting under the Acro Social brand. The software is developed and maintained on its behalf by Bespoke Visionaries, an independent contractor. Bespoke Visionaries is not a party to these Terms and does not host, organize or supervise any community or event. Your agreement, and any claim relating to the Platform, is with Tampa Acro LLC.

2.4 What we do not do. Unless we expressly state otherwise in writing, we do not:

  • Verify the identity, background, criminal history, intentions, health, fitness or experience of any user
  • Verify, certify or endorse any instructor's qualifications, training, insurance or teaching level
  • Inspect venues, outdoor locations, mats, rigging, flooring, equipment or spotting practices
  • Supervise partner matching, sessions, jams or events, or the conduct of anyone at them
  • Confirm that events have the permits, waivers, insurance or safety measures that apply to them

2.5 Not professional advice. Skill descriptions, progressions, tips and media on the Platform are for general information only. They are not coaching, medical, physical therapy or safety advice. Consult a qualified professional before starting any new physical activity, especially if you have an injury or health condition.

2.6 Your interactions are your responsibility. Your dealings with other users, online and in person, are solely between you and them. Use caution and good judgment when messaging, meeting, training with, or traveling to see anyone you connect with through the Platform.

2.7 No affiliation or endorsement. Communities, events, jams, classes and workshops listed on the Platform are created and operated by independent Hosts and Instructors. Unless an event is expressly labeled as operated by Tampa Acro LLC, it is not organized, sponsored, endorsed, supervised or affiliated with Acro Social or Tampa Acro LLC. A listing on the Platform is not a recommendation or a representation of safety.

3. Physical activity: assumption of risk and release

3.1 Inherent risks. ACROYOGA, PARTNER ACROBATICS, CIRCUS ARTS, HANDBALANCING, FLEXIBILITY TRAINING AND RELATED ACTIVITIES ARE INHERENTLY DANGEROUS. They involve basing, flying, spotting, inversions, lifts, throws, pops, washing machines, falls from height and close physical contact. Risks include, without limitation, falls, collisions, dropped partners, sprains, fractures, dislocations, concussions, head, neck and spinal injuries, paralysis, heat illness, injuries caused by other participants, unsafe surfaces, weather, and death. Some risks cannot be eliminated even when everyone acts with care.

3.2 Your responsibility. You are solely responsible for deciding whether to participate in any activity, with whom, at what level, and under what conditions. You are responsible for assessing your own fitness and health, warming up, using qualified spotters, communicating limits to your partners, and stopping when something feels unsafe. You agree not to attempt skills beyond your ability.

3.3 Voluntary assumption of risk. YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS, KNOWN AND UNKNOWN, OF INJURY, ILLNESS, DISABILITY, DEATH AND PROPERTY DAMAGE ARISING FROM ANY ACTIVITY, SESSION, JAM, CLASS, WORKSHOP, EVENT OR MEETUP YOU LEARN ABOUT, JOIN, OR ARRANGE THROUGH THE PLATFORM.

3.4 Release of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE AND FOREVER DISCHARGE ACRO SOCIAL AND ITS OWNERS, FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS, INCLUDING ITS PLATFORM DEVELOPER BESPOKE VISIONARIES (THE "ACRO SOCIAL PARTIES") FROM ALL CLAIMS, DEMANDS AND DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN ANY PHYSICAL ACTIVITY OR IN-PERSON INTERACTION CONNECTED WITH THE PLATFORM, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE ACRO SOCIAL PARTIES. This release does not apply to gross negligence, intentional misconduct, or any liability that cannot be waived under applicable law.

3.5 Host waivers. Hosts and instructors may require their own liability waivers, health questionnaires or registration forms. Those agreements are between you and the host. Acro Social is not a party to them and does not review them.

3.6 Release of unknown claims. To the extent permitted by law, you waive the benefit of any law that would limit this release to claims you know or suspect at the time you agree, including California Civil Code Section 1542 and similar laws in other jurisdictions.

4. Communities, hosts, instructors, roles and levels

4.1 Hosts. A "Host" is a user or organization that lists and manages a community on the Platform. Hosts control their community's settings, including whether it is open or invite-only, who may join, who holds Instructor permissions, and who may be removed. A Host may restrict or remove any member from its community at its discretion.

4.2 Host responsibilities. Hosts are solely responsible for their communities and events, including:

  • The accuracy of event details, dates, times, locations, pricing and skill-level guidance
  • Venue selection, safety measures, spotting standards, equipment and supervision
  • Obtaining any permits, venue permissions, insurance, waivers and licenses required by law
  • Their own refund and cancellation policies for anything they charge for outside the Platform
  • Complying with all laws that apply to their activities, including privacy laws for any member data they handle

4.3 Instructors. Hosts may grant members an Instructor role that unlocks event creation within that community. Instructors are responsible for the events they create and the instruction they give. Instructors are not employees, agents or contractors of Acro Social.

4.4 Roles and levels are self-declared. Roles (such as Participant, Instructor and Performer), levels (such as I, II and III), progression names, badges and streaks are descriptive labels entered by users or Hosts, or generated from Platform activity. They are not certifications, licenses, credentials, endorsements or safety ratings, and Acro Social does not verify or guarantee them. Do not rely on a label alone when choosing a partner, instructor or skill.

4.5 Member data held by Hosts. Hosts who access member information through the Platform may use it only to run their community and events, must protect it, and must not sell it or use it for unrelated marketing.

5. Fees, subscriptions and refunds

5.1 Paid plans. Some features require payment. Hosts pay a recurring fee to list and operate a community ("Host Plan"). Members pay a recurring membership fee ("Membership"). Current prices, billing periods and included features are shown at checkout and on our pricing page. All fees are in U.S. dollars and exclude applicable taxes unless stated otherwise.

5.2 Automatic renewal. HOST PLANS AND MEMBERSHIPS RENEW AUTOMATICALLY AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT PRICE UNTIL YOU CANCEL. By subscribing, you authorize us and [PAYMENT PROCESSOR] to charge your payment method at the start of each period. We will show the price, billing frequency and renewal terms before you confirm your purchase.

5.3 Cancellation. You can cancel at any time in your account settings, effective at the end of the current billing period. You keep access until that period ends. If you subscribed through the Apple App Store or Google Play, you must cancel through that store.

5.4 Free trials. If we offer a free trial, we will tell you its length and the date and amount of your first charge. Unless you cancel before the trial ends, your paid plan begins automatically.

5.5 Price changes. We may change prices with at least 30 days' notice by email or in-app message. Changes take effect at your next renewal. If you do not agree, cancel before the change takes effect.

5.6 Refunds. Except where required by law, fees are non-refundable, including for partial billing periods and unused features. Purchases made through the Apple App Store or Google Play are refunded only by those stores under their policies.

5.7 Failed payments. If a payment fails, we may retry the charge, suspend paid features, or downgrade the account. If a Host Plan lapses, the community may be hidden, suspended, or transferred to another Host with that community's consent.

5.8 Payments between users. Any fees a Host or Instructor charges for classes, workshops or events outside the Platform are solely between you and them. Acro Social does not process, guarantee or refund those payments. Soliciting payments from other users for anything other than legitimate classes, events or community dues is prohibited.

6. Code of conduct, consent and content

6.1 Consent and physical boundaries. Acro practice depends on trust. You must obtain clear, ongoing consent before any physical contact, respect a partner's "no" or "down" immediately, and never pressure anyone into a skill, contact or session. Consent given for one skill or session does not carry over to another.

6.2 Zero tolerance. You may not, on or off the Platform in connection with it:

  • Harass, threaten, stalk, intimidate, bully or exploit anyone
  • Engage in non-consensual touching, sexual advances during practice, or sexual misconduct of any kind
  • Send unwanted sexual, romantic or explicit messages or media
  • Use partner-finding or messaging features to pursue dating or sexual contact with users who have not invited it
  • Discriminate against or demean anyone based on a protected characteristic
  • Impersonate anyone or misrepresent your identity, experience, role, level or affiliations
  • Promote unsafe training as safe, or pressure others to attempt skills beyond their ability

6.3 Other prohibited uses. You may not post illegal, fraudulent, hateful or sexually exploitative content; spam or advertise without permission; scrape, copy or harvest data or other users' information; reverse engineer, overload or interfere with the Platform; upload malware; post false events or listings; or use the Platform to solicit money or investments.

6.4 Reporting. Report safety concerns, harassment or misconduct through the in-app report tools or at [support@acrosocial.com]. If anyone is in immediate danger, contact local emergency services first. We are not an emergency service.

6.5 Your content. You own the content you post, including profile details, photos, videos, skill showcases, event listings and messages ("Your Content"). You grant Acro Social a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, adapt for formatting, and distribute Your Content to operate, moderate, secure, improve and promote the Platform. This license ends when you delete Your Content or your account, except for content others have shared or saved, backups kept for a limited time, and content we must retain by law.

6.6 Consent of people in media. You confirm you own or have permission to post Your Content, and that every identifiable person in any photo or video you upload, including partners in poses, has consented to it being shared.

6.7 Moderation and enforcement. We may review, remove or restrict content; limit features; suspend or terminate accounts; remove Host or Instructor permissions; and report conduct to authorities, at any time, to protect users, enforce these Terms or comply with law. We may act on credible reports of off-Platform conduct that affects community safety. We are not obligated to monitor all content or resolve disputes between users. To appeal an enforcement decision, contact [support@acrosocial.com].

7. Locations, intellectual property and third parties

7.1 Meeting spots and map pins. Event locations and map pins are supplied by users and Hosts and may be inaccurate, outdated or approximate. Acro Social does not confirm that a location is safe, accessible, open, or legally available for practice. You are responsible for checking park rules, permits, private property boundaries, weather, ground conditions and access before you go. Do not trespass or practice where it is prohibited.

7.2 Our intellectual property. The Platform, including its software, design, logos, the Acro Social name, badges, level names and other branding, is owned by or licensed to Tampa Acro LLC and protected by law. Acro Social, its name and its logos are trade names and trademarks of Tampa Acro LLC. You may not copy, modify, distribute, sell or create derivative works from it without our written permission.

7.3 Copyright complaints. If you believe content on the Platform infringes your copyright, send a notice to [legal@acrosocial.com] identifying the work, the infringing material and its location, your contact details, a good-faith statement, and a statement under penalty of perjury that you are authorized to act. We will remove infringing content where appropriate and may terminate repeat infringers.

7.4 Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

7.5 Third-party services. The Platform uses and links to third-party services, including Google Maps Platform for maps and place search, payment processors, app stores, and social media sites such as Instagram, TikTok and YouTube. Your use of those services is governed by their own terms. Use of map features is also subject to the Google Maps/Google Earth Additional Terms of Service. We are not responsible for third-party content, availability or conduct.

7.6 Changes to the Platform. We may add, change, suspend or discontinue any part of the Platform at any time. We do not guarantee that the Platform will be uninterrupted, error-free or always available.

8. Disclaimers, liability and indemnity

8.1 Disclaimer of warranties. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND SAFETY. WE DO NOT WARRANT OR ENDORSE ANY USER, HOST, INSTRUCTOR, VENUE, EVENT, SKILL INSTRUCTION OR THIRD-PARTY SERVICE.

8.2 Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ACRO SOCIAL PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THE PLATFORM, ANY CONTENT, ANY INTERACTION WITH OTHER USERS, OR ANY ACTIVITY, SESSION OR EVENT CONNECTED WITH THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100). These limits do not apply to liability that cannot be limited under applicable law.

8.3 Indemnification. You agree to defend, indemnify and hold harmless the Acro Social Parties from all claims, losses, damages and expenses, including reasonable attorneys' fees, arising from your use of the Platform, Your Content, your violation of these Terms or any law, your conduct toward other users, and, if you are a Host or Instructor, any community, class, workshop or event you organize or lead.

9. Dispute resolution and governing law

9.1 Informal resolution first. Before filing any claim, you agree to send written notice to [legal@acrosocial.com] describing the dispute and the relief you seek. We will try in good faith to resolve it within 45 days.

9.2 Binding individual arbitration. If the dispute is not resolved, it will be resolved by final, binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. Hearings may be held by video or in [COUNTY], Florida. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property misuse.

9.3 Class action and jury waiver. YOU AND ACRO SOCIAL EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE PROCEEDING. Claims may be brought only on an individual basis.

9.4 Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [legal@acrosocial.com] with your name, account email and a clear statement that you opt out.

9.5 Governing law and venue. These Terms are governed by the laws of the State of Florida and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. Any claim not subject to arbitration must be brought exclusively in the state or federal courts located in [COUNTY], Florida, and both parties consent to personal jurisdiction there.

9.6 Time limit. To the extent permitted by law, any claim must be filed within one year after it arises.

10. General terms

10.1 Termination. You may delete your account at any time in settings. We may suspend or terminate your access if you violate these Terms, create risk for others, or if we discontinue the Platform. Sections 3, 5.6, 6.5, 8, 9 and 10 survive termination.

10.2 Changes to these Terms. We may update these Terms. For material changes, we will give at least 30 days' notice by email or in-app message. Continued use after the effective date means you accept the updated Terms.

10.3 Electronic communications. You agree to receive notices and agreements electronically, and they satisfy any requirement that communications be in writing.

10.4 Entire agreement, severability, waiver and assignment. These Terms and our Privacy Policy are the entire agreement between you and us about the Platform. If any provision is unenforceable, the rest remains in effect and the provision is enforced to the maximum extent allowed. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
